Introduction


Ready Global, LLC and Placeasy, LLC and/or its affiliates (together referred to as "Ready Global and Placeasy") operate this Web site and associated Web pages and services. For the purposes of these Terms of Use, Ready Global refers to this site and its related services as the Placeasy Website.

Ready Global and Placeasy offers you access to the Placeasy Web Site in exchange for your agreement to accept and comply with the terms, conditions, and notices stated herein and as may be modified by Ready Global or Placeasy from time-to-time. Ready Global and Placeasy refers to these terms, conditions and notices, whether modified or unmodified, as the "Agreement" or as the "Terms of Use." (TOU) Ready Global and Placeasy reserves the right, in its sole discretion, to modify this Agreement and/or the Placeasy Web Site without providing notification. You are responsible for regularly reviewing this Agreement. Your use of the Placeasy Web Site following any posted change(s) to the Terms of Use will be deemed an acceptance of such change(s).

In addition, when using particular services or features of the Placeasy Web Site, you shall be subject to any listed regulations or terms which are deemed applicable to any feature, application, service or product which may be posted from time to time. Said features, applications, services or products are hereby incorporated by reference into this Terms of Use. linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for each individual item of Content that you post, email or otherwise make available via our Services. The users understand that Ready Global and Placeasy does not control, and is not responsible for Content made available through our Service, and by using our Services, the user may be subject or exposed to Content that may be misleading or false. Placeasy through it's Terms and Conditions proceeds in good faith that users will provide reliable information. The Placeasy site might contain links to other websites, which are completely independent of Placeasy. Placeasy makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. The user is entirely responsible for securing the accuracy of each listing or information on the site which will result in a financial or legal commitment, through the services of a qualified individual such as an attorney,licensed real estate broker, architect or contractor.

In addition no information or listing details shall be allowed to include content that violates the Fair Housing Act by stating, in any notice or ad for the sale or rental of any dwelling, a discriminatory preference based on race, color, national origin, religion, sex, familial status or handicap (or violates any state or local law prohibiting discrimination on the basis of these or other characteristics)

The user acknowledges that Placeasy does not pre-screen or approve content, and that Placeasy shall have the right (however not the obligation) in its sole discretion to refuse, delete or remove any Content that is available via the Service, for violating the letter or the intent of the Terms of Use, or for any other reason it may choose.

  1. Except where we specify otherwise, and subject to the limitations set forth herein, Ready Global and Placeasy grants you a limited, non-exclusive license to access and use the Placeasy, provided that: (a) if you are a potential or actual buyer, renter or seller of an individual apartment, access to the Placeasy Web Site is used solely for your personal, internal, non-commercial purposes and; (b) if you are a property owner / manager or an agent or broker representing a property owner, access to the Placeasy Web Site is used only for the purposes of renting, buying or selling property owned by said property owner. Except as expressly provided above, nothing contained herein shall be construed as conferring, by implication, estoppal or otherwise, any license or right under any patent, trademark, copyright or other proprietary right of Ready Global or Placeasy. You agree and promise that you will not use the Placeasy Site, in whole or in part, for any purpose that is unlawful or prohibited by these Terms of Use or for any purposes other than those that are expressly licensed by Ready Global or Placeasy.
  2. You agree that you will not copy, modify, transmit, distribute, reproduce, display, perform, license, publish, create derivative works from, use on any other website, frame in another Web page, sell or transfer any information, pages, code, applications, software, lists of users, databases or other lists, material, content, products or services provided through or obtained from the Placeasy Web Site, or any portion thereof. You agree not to engage in the practices of "screen scraping," "database scraping," or any other activity with the purpose of obtaining lists of properties, users or other information. You agree that you will not use the Placeasy Web Site in any manner, which could overburden, damage, impair, or impair the Placeasy Web Site or cause problems or interfere with any other party's use and enjoyment of the Placeasy Web Site. You may not obtain or attempt to copy, reuse, imitate, reuse, redesign any materials or information through any means not intentionally made available or provided for through the Placeasy Web Site.
  3. Except with the written permission of Ready Global, you agree that you will not access or attempt to access password protected, secure or non-public areas of the Placeasy Web Site. Unauthorized individuals attempting to access prohibited areas, code or the functionality of the Placeasy Website may be subject to prosecution.
  4. User shall not provide content or information that impersonates any person or entity, including, but not limited to, a Placeasy employee, or falsely states or otherwise misrepresents your affiliation with a person, entity or organization or relationship with any organization or group.
    • a) that includes personal or identifying information about another person without that person's explicit consent;
    • b) that is false, deceptive, misleading, deceitful, mis informative, or constitutes "bait and switch"
    • c) that constitutes or contains "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or unsolicited commercial advertisement;
    • d) that includes links to commercial services or web sites
    • e)that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
    • f) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; g) that disrupts the normal flow of dialogue with an excessive amount of Content (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service;
    • h)that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

THIRD PARTY LISTING AGENTS



A "3rd Party Agents" is a third-party agent, service, or intermediary that offers to post Content to the Service on behalf of others. In order to preserve the spirit and intent of the Placeasy Website and Community 3rd Party Agents are not permitted to post Content on behalf of others, to cause Content to be so posted, or otherwise access the Service to facilitate posting Content on behalf of other.

NO SPAM POLICY

You understand and agree that sending unsolicited email advertisements to Placeasy email addresses or through Placeasy computer systems, which is expressly prohibited by these TOU, Any unauthorized use of Placeasy computer systems is a violation of the TOU and certain federal and state laws, including without limitation the Computer Fraud and Abuse Act (18 U.S.C. 1030 et seq.), Section ?? of the New York State Penal Code and Section ??? of the New York Business and Professions Code. Such violations may subject the sender and his or her agents to civil and criminal penalties.

LINKS


Except with the advanced, written permission of Ready Global and Placeasy, you agree that you will not create links from any Web site or Web page to any page within the Placeasy Web Site with the exception, subject to the conditions of this section, of the Placeasy Web Site homepage located at http://www.placeasy.com (the " Placeasy Web Site homepage"). The origin of any such link to the Placeasy Web Site homepage must be accompanied by a clear and prominent attribution indicating that the link is connected to the Placeasy Web Site. For example, prominently positioning the " Placeasy" name such that there is clear association between the name and the destination of the link is acceptable. However, you agree that you will not juxtapose the " Placeasy" name or link with your name or any other material(s) in a manner which might give rise to any erroneous conclusion that there is any affiliation or association between Placeasy or Ready Global, on the one hand, and you or any other person or entity, on the other hand. The other exception is if you are have signed up and joined the Placeasy community, with its specific terms and conditions, it is hereby agreed that you may link to your specific property listing or your specific agent listing page. An additional exception is that a link from an advertisement corresponding to a listing being owned, or marketed by you may be linked to your listing on the Placeasy Website and/or your agent listings page. Links from an agent's listing page on the Placeasy website to an outside web site is forbidden. You agree that if Placeasy or Ready Global, in its sole and unfettered discretion, requests in writing that you remove any links to the Placeasy Web Site, including without limitation the Placeasy Web Site homepage, you will promptly do so. You agree that you will not employ any technology that results in the placement of content from the Placeasy Web Site in a frame and/or a reduced browser window or pop-up window and/or any other display mechanism that changes the Placeasy Web Site from how they would appear if a user accessed the Placeasy Web Site by typing its URL into the location bar of a typical Web browser program.

Links to Third-Party Websites

The Placeasy Web Site may contain links to Web sites operated by parties other than Ready Global and Placeasy. Such hyperlinks are provided for reference only. Ready Global and Placeasy does not control such Web sites and is not responsible for their contents. Ready Global and Placeasy's use of these hyperlinks from time to time to such Web sites does not imply any endorsement of the material on such Web sites or any association with their operators. If you decide to access any of the third party sites linked to the Placeasy Web Site, you do so entirely at your own risk.

TERMINATION OF SERVICES

You agree that Placeasy may in its sole discretion and at any time terminate your access to and use of the Placeasy Web Site, or any part thereof, with or without notice. With the understanding that these basic terms and conditions represent a non commercial or monetary relationship between the user and Placeasy and Ready Global, there is no fiduciary or assumed obligation of Ready Global or Placeasy to provide any services, support, information, content, pictures, functionality, visibility, usability, performance, availability or times of operation to said user at any time, for any reason, unless detailed under a separate agreement.

You agree that Placeasy, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reason, including, without limitation, if Placeasy believes that you have acted inconsistently with the letter or spirit of the TOU. Further, you agree that Placeasy shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination.

All additional terms and conditions remaining shall survive termination of the TOU and Placeasy retains the right to act on said violations even after you no longer are actively using the Placeasy site.

DISCLOSURE OF INFORMATION


Ready Global and Placeasy reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

You agree to indemnify, defend and hold harmless Ready Global and Placeasy, its employees, directors, partners, affiliates, subsidiaries and suppliers from any liability, loss, claim and expense (including attorneys' reasonable fees) related to your use of the Placeasy Web Site, the content you submit to the Placeasy Web Site or your violation of this Agreement.

ADDITONAL LIMITATIONS OF SERVICE


You acknowledge that Placeasy may establish limits concerning use of the Service, including the maximum number of days that Content will be retained by the Service, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You agree that Placeasy has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that Placeasy reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that Placeasy shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

ACCESS TO THE SERVICE


Placeasy grants you a limited, revocable, nonexclusive license to access the Service for your own personal use. This license does not include:


Placeasy permits you to display on your website, or create a hyperlink on your website to, individual postings on the Service so long as such use is for noncommercial and/or news reporting purposes only (e.g., for use impersonal web blogs or personal online media). If the total number of such postings displayed or linked to on your website exceeds fifty (50) postings, your use will be presumed to be in violation of the TOU,absent express permission granted by Placeasy to do so. You may also create a hyperlink to the home page of Placeasy sites so long as the link does not portray Placeasy, its employees, or its affiliates in a false, misleading, derogatory, or otherwise offensive matter.

Placeasy offers various parts of the Service in RSS format so that users can embed individual feeds into a personal website or blog, or view postings through third party software news aggregators. Placeasy permits you to display, excerpt from, and link to the RSS feeds on your personal website or personal web blog, provided that

Use of the Service beyond the scope of authorized access granted to you by Placeasy immediately terminates said permission or license. In order to copy duplicate, aggregate collect, display or make derivative use of the the Service or any Content made available via the Service for other purposes (including commercial purposes) not stated herein, you must first obtain a license from Placeasy.

VERIFICATION OF CONTENT

This Web Site may contain typographical errors or inaccuracies. All information furnished regarding property for sale, rental or financing is from sources deemed reliable, but no warranty or representation is made as to the accuracy thereof and same is submitted subject to errors, omissions, change of price, rental or other conditions, prior sale, lease or financing or withdrawal without notice. All dimensions are approximate. For exact dimensions, you must hire your own architect or engineer.

Ready Global and Placeasy have no fiduciary duties to you, including, without limitation, the obligation to inspect properties described on the Web Site or to verify the veracity of offers and other information contained in the Web Site. Ready Global and Placeasy hold no responsibility to verify the veracity of others who post offers and information contained on the Web Site.

Ready Global and Placeasy makes no representations or endorsements regarding properties contained in the Web Site. All of the information, software, code and services provided through this Web Site are provided "as is," "as available," without warranty of any kind. Ready Global and Placeasy and/or its suppliers specifically disclaim any and all implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

All Materials are proprietary to Ready Global and Placeasy or its licensors and protected by worldwide copyright and other intellectual property laws. Except as stated herein, none of the Code or Materials may be copies, modified, copied, distributed, reproduced, republished, displayed, downloaded, sold, posted, compiled, or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording or other means, without the prior express written permission of Ready Global and Placeasy.

TRADEMARKS

The trademarks, trade names and service marks (the "Marks") displayed on the Placeasy Web Site are the property of Ready Global and Placeasy or other third parties. Users are not permitted to copy or otherwise use these Marks without the prior written consent of Ready Global or Placeasy or such third party which may own the Mark. The following list of Marks owned by Placeasy is not exhaustive, and Placeasy may own other Marks not included here:

General

Ready Global and Placeasy respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Ready Global and Placeasy's Copyright Agent the following information:

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  2. A description of the copyrighted work that you claim has been infringed;
  3. A description of where the material that you claim is infringing is located on the Placeasy Web Site;
  4. Your address, telephone number, and email address;

Compliance with Laws; Export Controls

You acknowledge that the code, software and any accompanying documentation and/or technical information is subject to applicable export control laws and regulations of the U.S.A. You agree not to export or re-export and code, software, directly or indirectly, to any countries that are subject to U.S. export restrictions

DEVICES

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our Web pages or the content contained herein without our prior express written permission. You agree that you will not use any device, code, software or routine to interfere or attempt to interfere with the proper working of the Placeasy Web Site or any transaction, listing information, property details, agent information or listings or offers being conducted on the Placeasy Web Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our servers or infrastructure. If your actions are directly responsible for imposing a conflict, problem, error, or reduction of of the functionality of the Placeasy Website, we retain the right to terminate your use of the Placeasy Website and or take appropriate legal actions.

As a condition of your use of the Placeasy Web Site, you warrant to Ready Global and Placeasy that you will comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and any related activities. NEITHER READY GLOBAL OR PLACEASY NOR ANY OF ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, VENDORS OR SUPPLIERS WILL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE THE PLACEASY WEB SITE OR ANY READY GLOBAL OR PLACEASY PRODUCT OR SERVICE, OR DAMAGES FROM THE USE OF OR RELIANCE ON THE INFORMATION PRESENT ON THE PLACEASY WEB SITE, EVEN IF READY GLOBAL AND PLACEASY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Modification of the PLACEASY Web Site

Ready Global and Placeasy (and/or its suppliers) reserves the right in its sole discretion to improve, modify, add to or remove any information or content appearing on the Placeasy Web Site. Ready Global and Placeasy may discontinue or revise any or all aspects of the Placeasy Web Site in its sole discretion and without prior notice.

International Users

Ready Global and Placeasy encourages users from around the world to use the Placeasy Web Site. However, if you choose to use the Placeasy Web Site, you understand, acknowledge and agree that your use thereof is governed by these Terms of Use and the laws and regulations of the United States regarding online conduct and acceptable content. If you use the Placeasy Web Site in a jurisdiction that prohibits or restricts such use, you agree that your use will be at your own risk, without limitation of any other provision of the Terms of Use, and that Ready Global and Placeasy shall not have any liability with respect to such use.

This agreement is governed by the laws of the State of New York, without regard to its conflicts of laws principles. You hereby consent to the exclusive jurisdiction and venue of courts in New York, New York, in all disputes arising out of or relating to the Placeasy Web Site. Use of the Placeasy Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Placeasy Web Site or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.

You agree that no joint venture, partnership, or employment relationship exists between you and Ready Group and Placeasy as a result of this Agreement or use of the Placeasy Web Site. This Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of Ready Global and Placeasy's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Placeasy Web Site or information provided to or gathered by Ready Global or Placeasy with respect to such use.

Unless otherwise specified herein, this Agreement constitutes the entire agreement between you and Ready Global and Placeasy with respect to the Placeasy Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Ready Global and Placeasy with respect to the Placeasy Web Site. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
